TERMS & CONDITIONS

Welcome to RealBytez, a music talent discovery and competition platform operated by Techish Byte Records ("Company", "we", "us", or "our"). By accessing or using the RealBytez platform at realbytez.com (the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Platform.

1. ELIGIBILITY

You must be at least 13 years of age to use the Platform. If you are under 18, you must have the consent of a parent or legal guardian. By using the Platform, you represent and warrant that you meet these eligibility requirements.

Participants in competitions must meet any additional age or residency requirements specified in the rules of each individual contest.

2. ACCOUNT REGISTRATION

To access certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and account credentials.
• Notify us immediately of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are involved in fraudulent activity.

3. COMPETITION RULES & PARTICIPATION

RealBytez hosts music competitions ("Contests") where artists submit original content and the community votes to determine winners. By entering a Contest, you agree to:

• Abide by the specific rules and guidelines published for each Contest.
• Submit only original content that you own or have the rights to use.
• Accept the decisions of the Platform and its designated judges or voting systems as final.
• Pay any applicable entry fees as stated in the Contest rules.

We reserve the right to disqualify any participant who violates Contest rules, engages in vote manipulation, or submits content that infringes on the rights of others.

4. CONTENT SUBMISSION & INTELLECTUAL PROPERTY

"User Content" means any and all material you create, submit, upload, or otherwise contribute on the Platform, including but not limited to music, audio, video, images, selfies and photos used to generate your Byte, AI-generated Byte avatars and poses, profile text, status posts, comments, votes, presses, and any other interactive contributions across the RealBytez ecosystem (collectively, the "Byte Universe").

You retain full ownership of your User Content. By submitting User Content, you represent, warrant, and certify that:

• You are the rightful owner of, or have obtained all necessary licenses, rights, consents, and permissions to submit and use, all User Content you contribute;
• Your User Content does not infringe on any third-party intellectual property rights, including copyrights, trademarks, rights of publicity, or rights of privacy;
• You approve and authorize all User Content you submit to be used, displayed, performed, distributed, and incorporated throughout the Byte Universe — including, without limitation, on artist profiles, the citizens directory, contest pages, ByteMart, ByteRadio, social media, promotional material, and any other Platform feature now or later introduced.

By submitting User Content, you grant Techish Byte Records and its affiliates a non-exclusive, worldwide, royalty-free, sublicensable license to host, display, stream, reproduce, adapt, modify (including for the purpose of generating your Byte and related artwork), distribute, and create derivative works of your User Content for the operation, promotion, and improvement of the Platform and the Byte Universe.

General Agreement. Your acceptance of these Terms at sign-up serves as the general agreement governing the use of all User Content you submit through ordinary use of the Platform. Additional, separate agreements may be required for more extensive arrangements, including but not limited to record-label partnerships, distribution deals, sync licensing, brand sponsorships, contest prize awards, or exclusive collaborations. Those additional agreements, where applicable, will supplement (and where they expressly state, supersede) this Section 4.

This license continues for the duration your User Content remains on the Platform and for a reasonable period after removal for archival, caching, and legal-record purposes. You may request removal of your User Content at any time by contacting us, subject to ongoing obligations tied to active contests, prize awards, or pending legal matters.

5. VOTING & FAN PARTICIPATION

Voting on the Platform is intended to be fair, transparent, and community-driven. You agree not to:

• Use bots, scripts, or automated tools to cast votes.
• Create multiple accounts to inflate votes.
• Purchase or sell votes.
• Engage in any form of vote manipulation or fraud.

We employ fraud detection systems to maintain voting integrity. Violations may result in vote removal, disqualification, and account termination.

6. PRIZES & AWARDS

Prizes for Contests are described in each Contest's official rules. All prizes are subject to:

• Verification of eligibility and compliance with Contest rules.
• Applicable taxes, which are the sole responsibility of the winner.
• Any required identity verification before prize distribution.

Prizes are non-transferable and cannot be exchanged for cash unless explicitly stated. We reserve the right to substitute prizes of equal or greater value.

7. PAYMENTS & FEES

Certain features, including Contest entries, may require payment. All payments are processed through our third-party payment processor (Stripe). By making a payment, you agree to the payment processor's terms of service. All fees are non-refundable unless otherwise stated in the specific Contest rules or required by applicable law.

8. PROHIBITED CONDUCT

You agree not to:

• Use the Platform for any unlawful purpose.
• Upload content that is obscene, defamatory, threatening, or hateful.
• Harass, bully, or intimidate other users.
• Attempt to gain unauthorized access to the Platform or its systems.
• Interfere with or disrupt the Platform's infrastructure.
• Scrape, crawl, or use automated means to access the Platform without our written consent.
• Impersonate any person or entity.

9. THIRD-PARTY SERVICES

The Platform may integrate with or link to third-party services, including ByteRadio, social media platforms, and payment processors. We are not responsible for the content, policies, or practices of third-party services. Your use of third-party services is governed by their respective terms.

10. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHISH BYTE RECORDS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Techish Byte Records and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your User Content, or your violation of these Terms.

13. CHANGES TO THESE TERMS

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform with a revised effective date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

14. TERMINATION

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately, but provisions that by their nature should survive (including intellectual property, indemnification, and limitation of liability) will remain in effect.

15. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you opt out within 30 days of account creation.
